Welcome to Husky Compliance. By using our website, services, and materials, you agree to comply with the following terms and conditions. Please read them carefully.
These Terms of Use (“Terms”) constitute a binding legal agreement between you and Husky Compliance LLC (“Husky Compliance,” “Company,” “we,” “us,” or “our”) governing your access to and use of the website located at huskycompliance.com, any associated learning management system, customer portal, downloadable resources, digital training products, subscription services, consulting services, and any related content, functionality, products, or services we make available (collectively, the “Services”).
By accessing or using the Services, creating an account, purchasing a course, enrolling in a subscription, requesting consulting services, downloading materials, or otherwise engaging with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
If you are accepting these Terms on behalf of a corporation, employer, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, and in that case, “you” and “your” refer to that entity as well as any individual user acting on its behalf.
Eligibility
The Services are intended only for persons who are at least eighteen (18) years of age and capable of forming legally binding contracts under applicable law. By using the Services, you represent and warrant that you satisfy these requirements.
Scope of Services
The Services may include, without limitation:
- online safety and compliance training courses;
- subscription-based access to course libraries, bundles, or learning portals;
- digital downloads, templates, forms, checklists, and related educational materials;
- consulting services, including but not limited to safety program development, document review, training development, and compliance support;
- website content, account services, communications, and customer support.
Certain Services may be governed by additional terms, order forms, subscription details, proposals, statements of work, invoices, or other written agreements. If there is a direct conflict between these Terms and a separately executed written agreement signed by Husky Compliance, the signed written agreement will control solely as to the subject matter of that agreement.
Changes to Terms
We reserve the right, in our sole discretion, to revise or update these Terms at any time. Any changes will become effective when posted to the Services unless a later “last updated” date is stated. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the revised Terms.
Account Registration and Security
Certain portions of the Services may require you to create an account. You agree to provide true, accurate, current, and complete information and to maintain and promptly update such information as necessary.
You are solely responsible for maintaining the confidentiality of your username, password, and account credentials, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account or any other security breach.
We reserve the right to suspend, restrict, or terminate any account that we believe, in our sole discretion, is being used in violation of these Terms, for fraudulent or unauthorized purposes, or in a manner that creates legal, operational, or security risk.
Limited License
Subject to these Terms and your payment of all applicable fees, Husky Compliance grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and any content purchased or made available to you solely for your own lawful internal business use or personal use, as applicable.
No sale or transfer of ownership is made or implied. The Services and all related content are licensed, not sold.
Seat Limitations
Unless expressly stated otherwise in writing, each course enrollment, subscription, license, bundle, or purchased access right is for a single designated user only. Access may not be shared, reassigned, pooled, rotated, or used by multiple persons under one login or one purchased seat unless expressly authorized by Husky Compliance in writing.
We reserve the right to audit usage, monitor access patterns, and suspend or terminate access if we reasonably determine that a single-user license is being used by more than one individual.
Prohibited Content
You shall not, and shall not permit any third party to:
(a) copy, reproduce, republish, upload, post, transmit, distribute, display, perform, license, sell, resell, rent, lease, lend, assign, transfer, or otherwise exploit any portion of the Services except as expressly permitted in writing by Husky Compliance;
(b) share login credentials or otherwise permit unauthorized persons to access the Services through your account;
(c) modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, algorithms, structure, or organization from any portion of the Services, except to the limited extent such restriction is prohibited by applicable law;
(d) create derivative works based on the Services or use the Services to develop, train, improve, or support any competing product, service, course, library, template system, or AI model;
(e) scrape, crawl, harvest, extract, mirror, frame, or systematically collect data, content, or materials from the Services by automated or manual means;
(f) remove, alter, obscure, or bypass any copyright, trademark, access-control, or proprietary notice or security mechanism;
(g) interfere with, disrupt, damage, impair, or overburden the Services or any server, network, or system used in connection with the Services;
(h) attempt to gain unauthorized access to any account, database, system, or network associated with the Services;
(i) use the Services in violation of any applicable law, regulation, court order, contractual duty, or third-party right; or
(j) use the Services for any unlawful, misleading, fraudulent, defamatory, infringing, or otherwise improper purpose.
Any unauthorized use of the Services automatically terminates the license granted under these Terms and may result in further legal action.
Fees, Billing and Payment
You agree to pay all fees, charges, taxes, and other amounts associated with your purchase, subscription, or engagement of Services at the rates in effect when incurred. Unless otherwise stated, all payments are due at the time of purchase.
By providing a payment method, you represent and warrant that you are authorized to use that payment method and you authorize us and our third-party payment processors to charge the applicable amounts to that payment method.
We reserve the right to correct pricing errors, modify pricing prospectively, refuse or cancel orders, and suspend access for nonpayment.
Subscriptions and Automatic Renewal
Certain Services may be offered on a subscription or automatically renewing basis. If you enroll in a subscription, you authorize Husky Compliance or its payment processor to charge your designated payment method on a recurring basis for the subscription term selected at checkout and each renewal term thereafter unless and until canceled.
The renewal term, billing frequency, amount, and cancellation method will be presented at or before the time of purchase. You are responsible for maintaining current, complete, and accurate billing information.
Unless otherwise stated at the time of purchase, subscriptions automatically renew until canceled. You may cancel future renewals through your account, if that functionality is available, or by contacting us using the contact information listed below. Cancellation will take effect at the end of the then-current billing period unless otherwise required by law or expressly stated by us in writing. No partial-period refunds will be provided unless required by law or expressly otherwise permitted in writing by Husky Compliance.
Refunds
Refund eligibility, if any, is governed exclusively by this stated Refund Policy or any separate written agreement applicable to the relevant Service. By purchasing any Service, you acknowledge that you have reviewed and accepted the applicable refund terms.
Unless expressly stated otherwise in writing, the following may be non-refundable: delivered digital products, downloaded materials, completed or substantially performed consulting services, custom work, and training access that has been used in whole or in part.
Course Access, Availability and Expiration
Access to courses, bundles, subscriptions, digital materials, and related Services may be limited by time, enrollment date, subscription status, completion status, business terms, or technical availability.
Unless otherwise stated in writing, access begins on the purchase or enrollment date and ends on the earliest of:
(a) expiration of the stated access period;
(b) expiration or cancellation of the applicable subscription;
(c) termination or suspension of your account;
(d) completion of the course, if the course is configured to close upon completion; or
(e) discontinuation of the applicable Service by Husky Compliance.
We do not guarantee uninterrupted or perpetual access to any Service unless expressly stated in writing.
No Guarantee of Acceptance, Certification, Employment or Compliance Outcome
Completion of a Husky Compliance course, receipt of a certificate, or participation in any Service signifies only that the learner satisfied the applicable course or service requirements established by Husky Compliance.
We do not warrant or guarantee that any course, certificate, record, credential, consulting deliverable, or training material will satisfy the requirements of every employer, customer, insurer, contractor, owner, state, agency, municipality, regulator, certifying body, or jurisdiction. You are solely responsible for verifying whether any Service meets your specific legal, contractual, licensing, site-specific, customer, or employer requirements.
We do not guarantee job placement, qualification for a specific role, successful completion of an audit, avoidance of citations or claims, or compliance with any law, regulation, code, or standard merely by reason of purchasing or using the Services.
Educational and Professional Disclaimer
The Services are provided for general educational, informational, and business-support purposes only. They do not constitute legal advice, medical advice, engineering advice, insurance advice, or other professional advice requiring a licensed professional-client relationship.
Safety, compliance, and training requirements vary based on facts, jurisdiction, industry, work activity, employer policy, applicable law, contract terms, and changing regulatory interpretations. You remain solely responsible for determining how any information, recommendation, training content, or deliverable applies to your specific circumstances.
While we strive for accuracy and relevance, we do not warrant that the Services will always be complete, current, error-free, or suitable for your particular use. You should independently verify critical requirements and obtain advice from qualified legal, technical, medical, or other professionals where appropriate.
Consulting Services
Consulting services may be governed by a separate proposal, statement of work, invoice, service agreement, or written scope document. In the absence of a separate signed agreement stating otherwise, all consulting services are subject to these Terms.
Unless expressly stated otherwise in writing:
(a) consulting services are limited to the scope purchased;
(b) all timelines are estimates only;
(c) Husky Compliance may rely on client-supplied information, data, assumptions, documents, and representations;
(d) Husky Compliance is not responsible for errors, omissions, delays, or compliance issues arising from incomplete, inaccurate, outdated, or misleading information supplied by the client or third parties;
(e) deliverables are provided for the client’s internal business use only; and
(f) final implementation, adoption, site-specific customization, employee communication, enforcement, and ongoing compliance remain the sole responsibility of the client.
Intellectual Property Rights
All right, title, and interest in and to the Services, including all course content, text, graphics, layouts, videos, audio, assessments, downloads, templates, forms, documents, designs, branding, logos, trade names, service marks, software, compilations, and other materials, together with all associated intellectual property rights, are and shall remain the exclusive property of Husky Compliance or its licensors unlesss otherwise expressly permitted in writing by Husky Compliance.
No right or license is granted except as expressly set forth in these Terms. All rights not expressly granted are reserved.
User Submissions, Feedback and Testimonials
If you submit or provide to us any feedback, suggestions, ideas, comments, reviews, testimonials, or other materials relating to the Services (“Submissions”), you grant Husky Compliance a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable, non-exclusive right and license to use, reproduce, modify, adapt, publish, display, distribute, and otherwise exploit such Submissions for any lawful business purpose, without compensation, attribution, or notice to you, unless otherwise agreed in writing.
You represent and warrant that you own or control all rights necessary to grant the foregoing license and that your Submissions do not violate any law or any third-party right.
We reserve the right, but not the obligation, to monitor, edit, remove, or refuse any Submission in our sole discretion.
Third-Party Services and Links
The Services may include or rely upon third-party websites, software, payment processors, hosting providers, plug-ins, learning management systems, analytics providers, communication tools, or other third-party services. We do not control and are not responsible for the content, availability, policies, or practices of any third-party service.
Your use of any third-party service is at your own risk and subject to that third party’s terms and policies.
Privacy
Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
HUSKY COMPLIANCE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND RESULTS.
WITHOUT LIMITING THE FOREGOING, HUSKY COMPLIANCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, COMPLETE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUSKY COMPLIANCE OR ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF HUSKY COMPLIANCE ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO HUSKY COMPLIANCE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100.00).
THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Indemnification
You agree to defend, indemnify, and hold harmless Husky Compliance and its owners, members, managers, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or relating to:
(a) your access to or use of the Services;
(b) your violation of these Terms;
(c) your violation of any law, regulation, or third-party right;
(d) your misuse, implementation, distribution, or reliance upon any training content, certificate, template, consulting deliverable, or recommendation; or
(e) any content, information, or materials submitted by you.
MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF HUSKY COMPLIANCE ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO HUSKY COMPLIANCE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100.00).
THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Suspension and Termination
We may, in our sole discretion and without prior notice, suspend, restrict, disable, or terminate your access to all or any part of the Services if we determine or suspect that you have violated these Terms, failed to pay required fees, engaged in fraudulent or unlawful conduct, created legal or security risk, or otherwise acted in a manner inconsistent with the interests of Husky Compliance or other users.
You may cease using the Services at any time. Termination does not relieve you of any payment obligation or liability incurred before termination.
Upon termination, all rights granted to you under these Terms shall immediately cease.
Copyright Infringement Claims; DMCA
If you believe that any content on the Services infringes your copyright, you may submit a written notification to our designated copyright contact containing the following information:
(a) a physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest;
(b) identification of the copyrighted work claimed to have been infringed;
(c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it;
(d) your contact information, including your name, address, telephone number, and email address;
(e) a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
(f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright
